IP TRANSACTIONS, DUE DILIGENCE & ASSIGNMENTS
IP Due Diligence / Audit
- Advised PETRONAS Dagangan Berhad in respect of its proposed transaction involving the distribution of electric two-wheelers (2W-EV) in Malaysia. This includes conducting intellectual property due diligence on the China-based product developer and drafting, reviewing and negotiating IP-related provisions in tripartite distribution, supply, subscription and shareholder agreements.
2. Advised Perbadanan Nasional Berhad (PNB) in respect of proposed equity investment and financing facility amounting to RM17.5 million under a management buyout of a public company. This includes conducting & preparing legal due diligence reports on Biotropics Malaysia Berhad, Phytes Biotek Sdn Bhd, Nu-Prep (M) Sdn Bhd and Plante Resources Sdn Bhd.
3. Advised Duopharma (M) Sendirian Berhad in respect of a business relationship with foreign companies in the United States of America and Singapore for a proposed collaboration for the manufacturing, supply, development, commercialization, distribution and technology transfer of a vaccine. This includes conducting a legal due diligence review on the foreign companies.
4. Advised Arowana International Limited (Australia) in respect of the acquisition of the Iverson group of companies in Malaysia and Thailand. This includes conducting IP due diligence on the Malaysian subsidiary of Iverson Group.
5. Advised Kobe Welding (Malaysia) Sdn Bhd (and its parent company, Kobe Steel Ltd, Japan) in respect of the purchase of business and IP assets from Linde Malaysia Sdn Bhd. This includes conducting IP due diligence, drafting the relevant agreements, attending to the proper transfer of IP, and recordation of trademark ownership.
6. Advised Koperasi Angkatan Tentera Malaysia Berhad in respect of its proposed investment in a multinational fintech company. This includes conducting IP due diligence on the holding company and subsidiaries.
7. Advised NR Chemical & Organic Industry (NRC) in respect of IP audit, mapping and identification of IP ownership and third-party dealings.
Recordation Assignment
8. Advised Société Malaisienne de Lactosérum S.A. (SOMALAC), a company based in Anderlecht, Belgium, in respect of the purchase of a business (including trademarks, goodwill and know-how) from Societe des Produits Nestlé S.A., a company based in Switzerland. This includes attending to the proper transfer of the intellectual property and the recordation of ownership of the trademarks in Malaysia and foreign jurisdictions.
9. Advised foreign companies in Bulgaria and Luxembourg involved in the wholesale distribution and marketing of pharmaceutical products in respect of the assignment of their trademarks to their related company. This includes attending to the proper transfer and recordation of ownership of the trademarks in Malaysia.
10. Attended to the recordation of trademark and other intellectual property assignments in Malaysia and foreign jurisdictions for various clients.
Clients include Titian Ikhtisas Sdn Bhd, Aspire Flagship Sdn Bhd, Pidilite International Pte Ltd, F.Y. Sdn Bhd, Niteo Products LLC, Gamsung Asia Sdn Bhd ( “COFFEA COFFEE” brand), Société Malaisienne de Lactosérum S.A. (SOMALAC), E&P O&M Services Sdn Bhd (EPOMS) and Avantcom International Sdn Bhd (“ARGANIA” brand).
11. Advised Perbadanan Kemajuan Negeri Selangor in respect of the assignment of a sound recording (a copyrighted musical work) from its composer, Encik Abdul Mannan bin Ngah, to Perbadanan Kemajuan Negeri Selangor. This includes drafting the Deed of Assignment of the copyrighted work.
